PURCHASE CONDITIONS

These Purchase Conditions shall be applicable to all sales of the products offered through the website www.cepa21.com (hereinafter ‘Products’), and together with the offer, price and description of the same set out on said website, and, where applicable, the specific conditions of the same set out in this document, shall govern the legal relationship between Bodegas Cepa 21, S.A., (hereinafter CEPA 21) and the CUSTOMER, making up the entire agreement between CEPA 21 and the CUSTOMER.

The period of validity of these Purchase Conditions shall be the period of time they remain published on the website, and shall refer to the purchase of Products at the time these conditions are available. 

Acceptance of these Purchase Conditions by the CUSTOMER shall be an essential requirement in order to formalise any contractual relationship between the CUSTOMER and CEPA 21.

We are sorry, but we can only accept orders placed by persons of legal age. If you are a minor, you must inform your parents or guardians of these General Purchasing Conditions. It is your parents or guardians who must express their acceptance of them before using this website or making any purchase from it.

Identification of the parties 

The first party, Bodegas Cepa 21, S.A., owner of the website www.cepa21.com (hereinafter ‘Website’), a company incorporated under Spanish law, with Tax Identification Code A47492384, with registered offices at NACIONAL 122, KM. 297, 47318 - CASTRILLO DE DUERO, VALLADOLID, and registered in the Mercantile Register of Valladolid in Volume 996, Folio 17, Page VA-13501, 1st Entry.

The second party, the CUSTOMER, of legal age, whose details have been entered by him/her in the corresponding forms. All data included in these forms have been entered directly by the CUSTOMER, so that the responsibility for the authenticity of the same corresponds directly and exclusively to the CUSTOMER. 

Purpose of the agreement

By accepting these Conditions of Purchase, CEPA 21 undertakes to make available to the CUSTOMER the Products purchased through the Website and the CUSTOMER undertakes to pay the price indicated at the time of purchase.

CEPA 21 does not permit the acquisition of the Products offered through its Website by minors or for subsequent resale. Thus, the accreditation obtained with the purchase of the product is personal and non-transferable. 

Registration process

In order to purchase the Products offered by CEPA 21 through the Website, it is necessary to register. The CUSTOMER may register at any time before starting the purchase process or, where applicable, before making the purchase.

In relation to the registration process, the CLIENT is solely responsible for the quality of the data entered by him/her in the forms, and accepts the obligation to provide true, accurate and complete data on his/her identity, as requested in the registration, purchase and accreditation forms, as well as to update all registration data so that they remain true, accurate and complete.

The CUSTOMER may at any time modify and/or update their data by accessing their User profile within the portal, but we recommend that they always confirm that the data entered and/or modified are correct, especially their e-mail address and delivery address for orders, in order to avoid future problems.

In order to register you must be of legal age in accordance with Spanish law, and you may be a resident of any country in the world.

Once the CUSTOMER has entered their details and clicked on the registration button, we will send them a confirmation e-mail in order to authenticate the data provided during registration. The sending and receipt of this email is usually automatic and in any case within 24 hours of sending the registration request. If the CUSTOMER has not received it within this period of time, it may be due to a specific failure of communications or an error in the e-mail address provided. In both cases, the CUSTOMER should contact us as soon as possible by e-mail at tiendaonline@cepa21.com.

If the CUSTOMER provides any false, inaccurate or incomplete information, or if CEPA 21 has sufficient reason to suspect that such information is false, inaccurate or incomplete, it shall be entitled to deny access and present or future use of the website or any of the services.

Products 

All the information on the Products offered by CEPA 21, including but not limited to prices, characteristics, description, size, content, etc., is available to the CUSTOMER on the website, and will appear on screen in each case.

We try to ensure that the descriptions and representations of the products that the CUSTOMER can see next to each of them are as accurate and useful as possible, but we cannot guarantee that they do not contain errors. CEPA 21 will do everything in its power to detect and correct any inaccuracies or errors that may appear. However, the colours that the CUSTOMER sees on their screen may vary from the original colours of the product. 

Purchase system

In order to purchase the products offered through the Website, it is necessary to be registered on the Website by accepting the Purchase Conditions, the corresponding privacy policy and the declaration of being of legal age.

Remember that personal data must be indicated with complete accuracy to avoid confusion or incidents in the provision of the Service, and the delivery of the products purchased.

The products you wish to purchase must be selected and added to the shopping cart by clicking on the corresponding icon.

After selecting the desired Products, in order to purchase them, the CUSTOMER must fill in the corresponding purchase form that will appear on the screen, together with a summary identifying the selected Products, their total price, applicable taxes and, where applicable, the applicable shipping costs.

The verification of such data shall be the sole and exclusive responsibility of the CUSTOMER. CEPA 21 shall not be liable to the CUSTOMER for any errors or inaccuracies in the order if CEPA 21 had sent the Products stated in the order confirmation.

If the CUSTOMER provides any false, inaccurate or incomplete information, or if CEPA 21 has sufficient reason to suspect that such information is false, inaccurate or incomplete, it reserves the right to cancel the CUSTOMER's purchase. In such a case, CEPA 21 will inform the CUSTOMER and will proceed to refund the amounts paid, discounting the expenses generated by the transaction, through the same means by which the payment was made, within fourteen (14) days following said communication.

Additionally, if you have a discount code, you can enter it during the purchase process, and the corresponding discount will be automatically applied. Please note that each code is subject to its own specific conditions of use, such as its duration, whether or not it can be used in conjunction with other offers and discounts, etc. These specific conditions will be provided to you together with the code information.

Once the purchase form has been completed, the CUSTOMER must accept these Conditions and confirm that he/she is of legal age. Once accepted, the CUSTOMER will be redirected to an online payment platform where he/she can finalise the purchase using any of the accepted payment systems.

Once the transaction has been confirmed, the CUSTOMER will receive a communication by e-mail with the order information. The non-receipt of this message may be due to a transitory problem of communications on the network or a typing error in the e-mail address communicated. In both cases, it is advisable to contact customer service through the e-mail address tiendaonline@cepa21.com.

It is also advisable that you check the data included in the e-mail and, if you detect any error, contact customer service at tiendaonline@cepa21.com.

Prices 

The characteristics and prices of the Products are indicated on screen in euros and include VAT and shall at all times be those in force, except in the case of typographical errors. Such taxes will be included in the invoice with an itemised breakdown.

The prices shown on the website override all previously published prices and are valid at the time of publication. CEPA 21 undertakes to make every effort to maintain these prices, although it reserves the right to modify them without prior notice. Price changes will not affect orders already placed.

Payment methods and security

CEPA 21 accepts orders at any time, 24 hours a day, every day of the week.

CEPA 21 offers you different payment methods so that you can choose the one that best suits your needs:

• Credit card: You can pay for your purchases with Visa and Mastercard credit cards. When paying by credit card, your purchase will be processed through a Redsys payment gateway (secure server) to guarantee the total security and privacy of your data. You must confirm that the credit card you are using is yours or that the cardholder has authorised you to use it. Credit card holders are subject to validation and authorisation checks by their card issuer. If your card issuer refuses to authorise payment to CEPA 21, we will not be liable for any delay in delivery.

- PayPal: For payments made through PayPal, we will redirect you to the appropriate page so that you can log in and pay through PayPal's secure services. The use of these services may entail additional costs due to the commissions applied by PayPal, which you will have to pay. These costs will be indicated in each case, and always before proceeding to confirm the purchase.

CEPA 21 reserves the right to withhold any order for security reasons, as well as to temporarily deny access to the Products purchased. The CUSTOMERS affected will be informed. Likewise, CEPA 21 reserves the right to cancel an order if it considers that the data provided by the CUSTOMER cannot be verified, or if it considers that the Product has been purchased by the CUSTOMER for resale.  

We will, to the extent that we are entitled to do so, keep your order and payment details secure; however, in the absence of negligence on our part we cannot be held responsible for any loss you may suffer if a third party attempts to gain unauthorised access to the information you provide when accessing this Website or ordering from this Website.

CEPA 21 shall not be liable for delays in the delivery of orders resulting from the lack of authorisation by the payment system.

Shipments

CEPA 21 delivers products and services in the Peninsula and the Balearic Islands. The costs will be borne by the CUSTOMER and will appear on the screen at the time of purchase, together with the estimated delivery time. 

At the moment, CEPA 21 does not ship products internationally. 

Delivery times and costs will depend on the place where the product is to be delivered, as well as the shipping method you choose. To find out more about these delivery times, delivery methods and costs, click here.

In the event of force majeure that prevents or delays the delivery of the product and/or service, the CUSTOMER will be informed with the proposal of a new delivery date for the product without any liability for CEPA 21. Force majeure shall be understood as any case that prevents the delivery of the order for reasons beyond the control of either party, including, but not limited to, strikes, wars, pandemics, floods or other natural catastrophes, lack of or impossibility of supplying materials.

Deliveries will be made to the address provided by the CUSTOMER. No deliveries will be made to post office boxes.

All deliveries must be signed for on receipt. Once the goods have been signed for, they are the responsibility of the CUSTOMER. 

In order to avoid delivery incidents, it is essential to fill in the corresponding form correctly, and it is compulsory to fill in the box relating to the contact telephone number and e-mail address.

Cancellation of orders

The CUSTOMER may cancel the order of any product without charge and without providing any reason, as long as the product has not been shipped. Please note that orders are usually dispatched on the first working day after purchase.

To cancel, you must contact the customer service department by telephone on +34 983 484 083, or by e-mail tiendaonline@cepa21.com.

If the order has already left our warehouse, it cannot be cancelled. However, you will be able to return it once you have received it, in accordance with the following return conditions.

Withdrawal and changes

Withdrawal

You have the right to withdraw from this agreement within fourteen (14) calendar days without giving any reason, counting from the day on which you or a third party indicated by you, other than the carrier, acquired material possession of the goods.

To exercise the right of withdrawal, you must notify us at CEPA 21, Nacional 122, Km. 297, 47318 - Castrillo de Duero, Valladolid, telephone + 34 983 484 083 or by e-mail to tiendaonline@cepa21.com, your decision to withdraw from the contract by means of an unequivocal statement (e.g. a letter sent by post or e-mail). You can use the withdrawal form template that you can download HERE, although its use is not obligatory.

To meet the withdrawal deadline, it is sufficient that the communication concerning your exercise of this right is sent before the expiry of the withdrawal period.

Exceptions to the Right of Withdrawal

Please note that in the case of the purchase of bottles of wine or other food products, for reasons of health protection and hygiene, you will lose the right of withdrawal if you open the bottle or any other container in which the product is sold. In other words, if you open the bottle you will not be able to return it.

Consequences of withdrawal

In the event of withdrawal by you, we will refund to you all payments received by us from you for the purchase of the product, including the costs of delivery (with the exception of the additional costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us) without undue delay and in any event not later than 14 calendar days from the date on which you inform us of your decision to withdraw from this agreement. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement. We may withhold the refund until we have received the goods back, or until you have provided us with proof of return of the goods, whichever is the earliest.

You must return or deliver the goods directly to us at CEPA 21, Nacional 122, Km. 297, 47318 - Castrillo de Duero, Valladolid, and you must bear the direct cost of returning the goods. You must return the goods without undue delay and, in any case, no later than 14 calendar days from the date on which you notified us of your decision to withdraw from the contract. The deadline shall be deemed to have been met if you return the goods before the deadline has expired. 

You will only be liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods, and they must be returned in their original packaging, or if this is not possible, in other packaging of similar characteristics and suitable for the transport of the product.

Exchanges 

If you are not satisfied when you receive your order, you have a period of 15 days from the date of receipt to exchange it for another item, except in the case of bottles of wine or other food products which, for reasons of health protection and hygiene, cannot be exchanged if you open the bottle or any other container in which the product is sold.

To change an order, you must inform us by telephone +34 983 484 083 or by email to tiendaonline@cepa21.com, and you must check that the following conditions are met.

- The product must not be used.

- The product must be returned in the same condition in which it was sent and where possible in its original packaging. If the original packaging is not available, it must be replaced by one of similar size and capacity.

- The product must be returned to our offices (see address below) within 15 days of receipt of your order.

When sending items for exchange, products should preferably be presented in their original packaging and sent by ordinary registered post to the address below: CEPA 21, Nacional 122, Km. 297, 47318 - Castrillo de Duero, Valladolid.

Under no circumstances will postage due deliveries be accepted. In the case of exchanges, the buyer is responsible for all delivery and collection costs, except in the case of a manufacturing or quality defect, where CEPA 21 will be responsible for the costs of sending the product.

When we have received the product, we will send you the new product, using the same service that was used for the original purchase.

Intellectual and industrial property

CEPA 21 guarantees the CUSTOMER that it is the owner of the intellectual and industrial property rights over the Products sold and/or, where applicable, that it has the necessary authorisation to market them through its website.

The CUSTOMER acknowledges and accepts that the Products, as well as their contents, packaging, materials, etc., are subject to Intellectual and Industrial Property rights, the ownership of which corresponds to CEPA 21 and/or third parties. 

The purchase of the Products and browsing the CEPA 21 website shall in no case be understood as a waiver, transmission, licence or total or partial transfer to the CUSTOMER of the intellectual and industrial property rights owned by CEPA 21 or, where applicable, by the third party to which they correspond. Under no circumstances may the CUSTOMER alter, exploit, reproduce, distribute or publicly communicate the website, its contents or the products acquired through the same, without the prior and express authorisation specifically granted for this purpose by CEPA 21 or, where applicable, by the corresponding third party.

Modification of the Conditions

CEPA 21 reserves the right to modify this agreement, when it deems it appropriate or in order to adapt these texts to legislative or technological changes or to its contractual relationship with third parties. The CUSTOMER will be duly informed of such modifications. 

Partial invalidity 

Should any part of these Terms and Conditions of Purchase be contrary to law and therefore invalid, this shall not affect the other provisions which are in accordance with the law. The parties undertake to renegotiate those parts of the contracting conditions that are invalid and to incorporate them into the rest of the contracting conditions.

Applicable law and dispute resolution

These Conditions of Purchase shall be governed by and construed in accordance with Spanish law. The Parties agree to settle any discrepancy or conflict out of court and only in the event that this is not possible will the parties submit to the Courts and Tribunals that correspond by law. In the event that the User is considered a consumer and user, the Courts and Tribunals of the User's domicile will be competent to hear any discrepancy.

In this case, we inform you that, as a consumer and user, you have the right to request an out-of-court resolution of consumer disputes through the online dispute resolution platform developed by the European Commission, accessible through the Internet address http://ec.europa.eu/consumers/odr/.
